Not every commercial disagreement requires immediate litigation.
Before sending a legal notice or filing a suit, identify the real dispute. Is it unpaid money? Delay? Defective performance? Ownership of intellectual property? Termination? A breakdown in management? A disputed interpretation of a clause?
Different problems call for different legal strategies.
The contract should then be read alongside the documents showing performance. The parties should identify what can be proved, what remedy is available and whether urgent interim protection is necessary.
Litigation can be essential, but it is most effective when the legal issue is clearly defined. A poorly framed dispute may produce years of procedural activity without resolving the commercial problem that caused it.
